Companies Act 2006

The Companies Act came fully into force on 1 October 2009. This Act gives a list of words that cannot be used in companies names without permission of the relevant authority.

The Companies (Trading Disclosures) Regulations have been implemented under the Companies Act 2006 which requires certain information to be on business documents, on business websites and at the business premises.

Limited companies must display their registered name at its registered address, any place of inspection and anywhere it carries on business.

Further information must be displayed on all business documents, including electronic copies and their website, the following must be displayed:

  • Company's registered name

  • Where the company is registered, eg England and Wales

  • Company's registered number

  • Company's registered address

  • The word Limited

  • If you fall under definition of an investment company under S833 of the Companies Act 2006, state that you are

  • If you choose to display share capital, you must display the amount of paid up share capital

Information requirements are given in the Company and Business Names Regulations and apply to companies not trading under their company name and sole traders or partnerships trading under a name which is not their own name/s. These businesses must display the following information:

  • Your name and your partner's name

  • A UK address for each partner for service of documents relating to the business

In the following places:

  • where business is carried out

  • where customers and suppliers have access

  • on all business documents, including electronic copies and their website
